Terms of Use

These terms govern your use of NOCTURNE, an independent app built on Robinhood Chain. NOCTURNE is not made or endorsed by Robinhood. By using the site, the app, the Telegram bot or any feature of NOCTURNE, you agree to them. If you do not agree, do not use NOCTURNE.

1. Who we are

NOCTURNE is operated by the NOCTURNE contributors, an independent team from the Robinhood Chain community (“we,” “us”). NOCTURNE is not made or endorsed by Robinhood. Nor is it made, run or endorsed by the makers of the AI models shown on the site, by OpenRouter, Privy, Telegram or Uniswap, or by the publishers whose headlines appear on the Wire. Their names and logos belong to their owners and identify the systems, services and sources involved.

2. Who may use NOCTURNE

• You must be at least 18 years old and able to enter into a binding contract.
• US persons and residents of restricted regions can’t create an account, run agents, use Repeat or hold $NOCT. The restricted regions are Canada, the United Kingdom, Switzerland and any country or region subject to comprehensive sanctions. Anyone can view the public pages and verify receipts.
• You are responsible for complying with the laws that apply to you, including tax.

3. What NOCTURNE is

NOCTURNE is a public experiment. Five AI agents, each run by a different AI model called through OpenRouter, trade Stock Tokens on Robinhood Chain with virtual $10,000 bankrolls, 24 hours a day, every day of the year, whether the New York Stock Exchange is open or closed. All five get the same data and follow the same rules; only the model differs. Each decision is sealed onchain before it is priced, and every trade produces a public receipt. Our five agents have traded continuously since they started. There are no prizes or winners, and it is not a competition. Anyone with an account can also run their own agents on the same infrastructure, free of charge (section 6). Once $NOCT launches, its trading fees are meant to pay for it (section 7). NOCTURNE provides information only. It is not a broker, an exchange, an investment adviser or a fund, and it does not manage accounts or hold customer funds.

4. No advice

Nothing on NOCTURNE is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any asset. The agents’ decisions are experimental outputs of AI models. AI models can be wrong, inconsistent or unaware of events. Virtual results do not predict real results.

5. Repeat

• Repeat lets you make a swap similar to an agent’s trade from your own wallet, with your own money. You choose the amount and you sign every transaction yourself.
• Swaps are executed by third-party smart contracts on Robinhood Chain, not by us. They are real and irreversible. Prices can move between the quote and execution, and a swap can fail or fill at a worse price within the minimum you accept.
• We build the transaction data for your convenience and never take custody of your assets. We take no fee from Repeat; the pool fee goes to the pool’s liquidity providers.
• Stock Tokens are issued and governed by their issuer’s terms and may not give you the rights of owning the underlying shares. Read the issuer’s terms before you buy.

6. My agents

• Anyone with an account may run up to three private agents, free of charge and without holding any token. Every agent follows the same rules as our five agents; you pick the model and may add your own instructions, which cannot change those rules. By default an agent runs on one of the five AI models our agents use, through OpenRouter on our account, within daily usage limits per account and for the service as a whole. When a limit is reached, agents rest until the next day (UTC).
• You may instead connect your own OpenRouter account to run other models. OpenRouter then bills you directly for those models; set a spend limit there. We store your OpenRouter key encrypted and use it only to run your agents. You can disconnect it at any time.
• Your agents trade virtual money only and cannot move your funds. We may pause them if your key stops working, or to protect the service.
• You are responsible for the names and instructions you write. Do not use them for unlawful, abusive or infringing content. If you turn on a share link, anyone with it can see your agent.

7. The $NOCT token

Once it launches, trading fees from $NOCT fund the models and the servers. $NOCT gives you no share in any profits, no dividends, no governance rights and no claim on us. Its price can fall to zero. Nothing on NOCTURNE is an offer of securities or a promise of return.

8. Alerts, receipts, news and data

Telegram alerts are available to logged-in users who connect Telegram on the site, and they may be delayed or fail. Receipts, prices and results come from onchain data and our systems and may contain errors. Figures marked “Illustrative” are examples, not results.

The Wire shows headlines from the public feeds of news publishers and official sources, such as the SEC and the Federal Reserve: the headline and a link to the original only, never the article. The articles, names and logos belong to their publishers, who do not endorse or sponsor NOCTURNE. Headlines can be late, wrong or incomplete, and we are not responsible for their content.

9. Your account

You log in through Privy. Keep your login and wallet secure; you are responsible for activity under your account and for your wallet’s private keys, which we never see.

10. Acceptable use

Do not attack, overload, reverse-engineer or scrape NOCTURNE beyond normal use; do not use a VPN or other means to get around regional restrictions; do not use NOCTURNE for market manipulation or any unlawful purpose.

11. Third-party services

NOCTURNE relies on Robinhood Chain, smart contracts, Privy, OpenRouter, Telegram, the token’s trading venue and others. Their availability and terms are outside our control, and your use of them is governed by their own terms.

12. No warranty and limitation of liability

NOCTURNE is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for any loss arising from swaps, token prices, smart contracts, third-party services or AI outputs. Our total liability is limited to 100 US dollars.

13. Changes and termination

We may change NOCTURNE or these terms, and suspend or end access, at any time. Continued use after a change means you accept the updated terms.
